Real estate crowdfunding: project selection matters more than return promises

The Italian market is slowing and the European framework is now operational: investing requires checks on timing, guarantees and repayment capacity, in addition to the rate on offer

Crowdfunding has made it possible to take part in real estate deals with amounts lower than those needed to buy a property directly. This accessibility remains its most obvious advantage, but it does not make the underlying investment simple. Behind every campaign there is a business, a financing need, works to be completed and revenues that must arrive on time. Returns depend on how well these steps hold together, even when subscribing takes only a few minutes. After years in which the sector was described through very ambitious forecasts of expansion, the discussion must shift to the quality of the deals and the ability to actually repay capital.

The latest figures point to a slowing Italian market. In the slides of the Eleventh Crowdinvesting Report by Politecnico di Milano, presented on 21 July 2026, total fundraising in the observed perimeter fell by 36.8% over the twelve months ended in June, compared with the previous period. For real estate alone, in the first half of 2026, 29.39 million euro was raised through equity stakes and 28.04 million through loans: 57.43 million in total. In the same half of 2025, the figures were 30.56 and 54.12 million respectively. The segment therefore continues to finance concrete initiatives, but the contraction in the lending component makes it impossible to present generalized growth as though it were inevitable. Fundraising, realized return and project quality remain, moreover, different measures.

The numbers must be read together with the scope of the research

Caution is also needed when comparing Europe-wide figures. ESMA’s 2025 report (European Securities and Markets Authority), referring to activity in 2024, recorded 4.25 billion euro raised by 181 active providers in 21 Member States. The figure concerns crowdfunding for businesses included in the report’s scope, not only real estate. The authority also notes that the comparison with 2023 is affected by the initial data coverage. Putting this figure alongside older commercial estimates for the global market, or with a cumulative fundraising total spanning many years, does not make it possible to derive a reliable growth rate: the observed populations, instruments and time horizons must be consistent.

When assessing whether an investment is worthwhile, it is more useful to ask what economic problem the financing is solving. A company may raise funds to buy a building, advance the work needed to split units, complete a redevelopment or supplement equity and bank debt. Each situation carries a different level of uncertainty. A project with permits in hand, contracted costs and sales already underway is not the same as one in which zoning, main financing and final demand still need to be verified. The purpose of repaying an existing debt must also be stated and analysed: it may be part of a sustainable reorganization, but it may also postpone a difficulty without creating new resources to solve it.

Becoming a shareholder and granting a loan are different choices

Under the equity model, the investor subscribes to a stake in a company, often set up for a specific transaction. The return may come from profit distributions, the sale of the stake or the liquidation of the company, according to the applicable agreements. It does not automatically coincide with the difference between the property’s sale price and the amount invested: costs, debts, taxes, fees and distribution rules come first. The bylaws and shareholders’ agreements must be read carefully to understand voting rights, disclosure obligations, any economic preferences and exit conditions. Owning a company share, moreover, does not confer a directly usable portion of the building and may be difficult to sell to another investor.

In lending, by contrast, one grants a loan with a maturity and remuneration terms defined by contract. The right to receive principal and interest does not mean that the borrower has the resources needed to pay them. What matters is the borrower’s financial position, the other obligations it has taken on and how the repayment money will be generated. Some deals may include variable components of remuneration, but these do not turn the lender into a shareholder or eliminate credit risk. There are also fundraisings through debt securities, which must be distinguished from a contractual loan. The project description must therefore clarify the actual instrument being subscribed and the entity against which the investor acquires a right.

European rules improve the framework, but do not guarantee the outcome

European Regulation 2020/1503 is now operational and the transitional period ended on 10 November 2023. This is no longer a reform waiting to start. The provider’s authorization and the review of its position in the European register are the first checks, to be carried out even when the brand is well known. In Italy, responsibilities are shared between Consob (National Commission for Companies and the Stock Exchange) and Banca d’Italia. Supervision of the operator concerns compliance with the applicable rules and does not amount to approval of the individual project. The European regime covers offers of up to 5 million euro per project owner over a twelve-month period, according to the calculation set out in the rule: it is not a universal cap on the overall cost of the building work.

For non-sophisticated investors, a knowledge test and a simulation of loss-bearing capacity are required. Before an investment above the greater of 1,000 euro and 5% of net worth calculated under the regulation, specific warning, consent and risk-understanding conditions are added: it is not a simple ceiling beyond which every investment is forbidden. A four-calendar-day reflection period is also предусмотр? wait translation should be natural. Let's continue in English. It is also provided. The KIIS (Key Investment Information Sheet) should be read together with the contract. These protections do not ensure repayment: the regulation expressly warns that the investment is not covered by deposit guarantee or investor compensation schemes.

The property is not automatically collateral in favour of the investor

The fact that the money finances a building does not, by itself, give the lender the right to take recourse against that building ahead of other creditors. It is necessary to verify who owns it, who receives the financing and what relationship exists between these parties. If the contract provides for security, the asset or party supporting it, the actual creation of the security, its ranking, the beneficiary and the enforcement methods must be identified. A mortgage ranking behind the bank’s mortgage may leave the crowdfunding lender with modest or no recovery after the creditors ahead of it are paid. A personal guarantee depends on the financial capacity of the person providing it; a high valuation of the property does not replace any of these checks.

The relationship between debt and property value also needs a clear denominator. A financing may appear modest compared with the expected sale price once the works are completed, yet be much higher than the current value of the asset, which still needs to be transformed. To assess economic protection, one must consider the overall debt burden and what might remain after completion costs, recovery expenses and senior creditors. The balance sheet of the company carrying out the deal must be distinguished from that of the platform. A plan to continue managing relationships if the portal runs into trouble is important, but it does not heal an insolvent debtor and does not restore the value lost by the project.

The business plan must also hold up over longer timeframes

Technical due diligence starts with the availability of the asset, planning compliance and the permits required, and continues with the bill of quantities, works contracts, site status and the capability of the contractor. On the commercial side, comparisons are needed with actual sales that are relevant in terms of area, quality and intended use, not a selection of only the most expensive listings. Reservations must be distinguished from contracts that create verifiable financial commitments. If the exit depends on selling apartments, it is necessary to understand how many units must be sold to repay the lenders and what happens if the market absorbs the units more slowly than expected. A project that looks profitable on paper may run out of liquidity long before sales are completed.

The margin must be tested with scenarios that are easy to understand. In a purely illustrative example, a project with total expected costs of 1 million euro and expected revenues of 1.1 million euro has a margin of 100,000 euro, before any budget items that may not be included. If costs rise by 50,000 euro and revenues fall by the same amount, that margin disappears. A delay can then add interest, charges and management costs. The point is not to attribute these changes to every site, but to measure how much room the project has to absorb them. It is equally important to verify the capital actually paid in by the sponsor, when it is contributed and under what conditions it may be repaid relative to the resources of other financiers.

Return matters when it is collected

An offered rate is not yet an achieved result. To compare two deals, one must know whether the figure is annual or total, gross or net, whether interest is paid periodically and how extensions are handled. Suppose, purely to illustrate the calculation, that you invest 10,000 euro and receive 1,000 euro in interest at the end of twelve months. If payment arrives after eighteen months and the interest remains unchanged, the overall gain is still 10%, but the simple annual return falls to about 6.7%, before taxes and costs. Using the compound method, the annualized outcome is different again. An extension that grants additional interest changes the calculation, but the result remains expected until the sums are actually paid.

Tax treatment must be checked by instrument, taxpayer status and the role of the intermediaries involved. The distinction between loan, dividend and capital gain cannot be replaced by the idea that all authorized platforms automatically apply the same treatment. For a foreign offer, any reporting obligations, withholding taxes and compliance requirements relating to assets held outside Italy must also be considered. Before comparing net returns, one must obtain a written description of the treatment applied and verify whether the portal operates as a withholding agent. Even costs that are not immediately visible in the rate, including those borne by the project company, can reduce the resources available to investors.

Delays, defaults and losses are not the same statistic

The quality of a platform is also judged by how it describes troubled deals. A late repayment, a financing in default and a definitively recognized loss are different situations. The data must indicate the period observed, the definition used and whether the percentage is calculated on the number of transactions or on capital. A young portfolio may show few problems because many maturities have not yet arrived; extensions should not disappear inside the simple label of an active project. A serious assessment compares transactions from the same vintage and also follows recoveries, restructurings and actual repayment times. There is no universal threshold of 2% beyond which the sector automatically changes nature or lawmakers must intervene.

Spreading small amounts across several campaigns only reduces some concentrations. If the projects belong to the same group, are located in the same area or depend on the same final demand, a larger number of subscriptions may leave the economic risk almost unchanged. It also matters how much of the investor’s wealth is already exposed to real estate through a home, second homes, professional income and other investments. Capital committed to crowdfunding should be able to remain locked up beyond the initially expected duration and withstand losses without jeopardizing essential needs. The presence of a board for expressing interest in buying or selling stakes does not guarantee that a counterparty exists, nor that it is willing to accept the desired price.

A useful channel when the project is financed coherently

For the business, crowdfunding can supplement other sources of capital and support projects that require amounts or timelines that do not coincide with traditional credit. However, the benefit must be weighed against interest, fees, disclosure obligations and repayment terms. A short-term raise used to cover a project that needs much longer timelines creates fragility even when the property is sound. Sustainability depends on the match between the duration of the resources and the project cycle, as well as on the overall cost. For the investor, the final assessment must be reconstructible from the documents: who receives the money, how it is used, from which revenues it will be repaid and what position the investor will have if forecasts do not materialize. It is on these answers that real estate crowdfunding can build credibility and lasting development.
